As nearshoring shifts from strategic concept to operational reality, and as Latin American companies seek credible, durable entry points into the United States, Texas is emerging as a preferred destination for market entry, manufacturing, and long-term commercial expansion. Auxadi, a global professional services firm with more than 45 years of experience, presents a new White Paper, “Expansion into Texas: a strategic gateway for Latin American business expansion,” which explores why the state’s economic scale, demographic makeup, and regulatory framework make it uniquely suited to Latin American growth strategies.
The White Paper highlights that Texas is no longer simply one of the most attractive U.S. states – it is a market of continental scale in its own right. With a 2025 GDP of $2.9 trillion and thirteen consecutive years leading the nation in job-creating relocation and expansion projects, Texas offers global companies a primary destination rather than a secondary office location. The state’s growing role in capital markets, driven by the emergence of Dallas as a financial hub and the anticipated launch of the Texas Stock Exchange, further reinforces its appeal as a platform for investment and financing, not just trade.
Where value is really won or lost
The report also underscores the demographic and cultural advantage Latin American companies hold in Texas. The state’s Latino economy added $147 billion between 2017 and 2022, with Hispanic-owned businesses growing at an annual rate of 34% between 2019 and 2023 – far outpacing the broader market. For Latin American firms, this translates shared language and cultural familiarity into a genuine commercial advantage, reducing the friction typically associated with U.S. market entry.
However, the White Paper cautions that opening a Texas entity or acquiring an asset is often the easiest step. Long-term success depends on the underlying architecture: choosing the right entity structure, meeting registration and tax compliance obligations, managing banking and treasury requirements, and building HR and operational frameworks before the first contract is signed.
“The opportunity in Texas is real, but so are the mistakes companies make when they move too quickly or structure the entry poorly,” says Manrique Blen, LATAM Regional Director at Auxadi and co-author of the White Paper. “The companies that succeed are not always the largest or most aggressive – they are the ones that build the right legal, financial, and operational architecture from day one. Texas rewards preparation, and punishes improvisation”.
From a legal standpoint, the entry decision carries weight well beyond formation paperwork. “Choosing
among a small set of structures, most commonly an LLC, a C-Corp, or a branch of registration, depending on commercial objectives, tax profile, liability exposure, and operational plans. The right choice is not merely a formation question; it is a governance and compliance decision that shapes how the business will function in the U.S. market,” says Jaime Collazo, Attorney at GNS Law and contributor to the White Paper.
Mitigating operational friction
To support this cross-border governance, Auxadi operates from its Miami headquarters, one of its three global hubs alongside Madrid and Amsterdam, offering a unified, technology-enabled model to deliver Legal Set-Up, International Accounting, Tax, Payroll, Transfer Pricing, Global Mobility, and Corporate Secretarial (CoSec) services to Real Estate Funds, Multinational Corporations, and Family Offices across more than 50 jurisdictions.
